Terms of service

1. Agreement

These Terms of Service ("Terms") form a binding agreement between you and gzyuans, Lda. ("gzyuans", "we", "us") governing your access to and use of gzyuans.com (the "Site") and any related services we provide.

By accessing the Site or engaging our services, you agree to these Terms. If you don't agree, please don't use the Site or our services.

2. Use of the site

You may use the Site for personal or professional research, to learn about our services, and to contact us. You agree not to:

  • Use the Site in any way that violates applicable law or regulation
  • Attempt to gain unauthorized access to any part of the Site, other accounts, or computer systems
  • Use any robot, spider, scraper, or other automated means to access the Site for any purpose without our prior written consent
  • Probe, scan, or test the vulnerability of the Site, or breach any security or authentication measures
  • Interfere with or disrupt the Site or the servers or networks connected to it
  • Use the Site to transmit any viruses, malware, or other harmful code

3. Intellectual property

The Site and all of its content — including text, graphics, logos, icons, images, audio clips, video, downloads, data compilations, software, and the look and feel of the Site — is the property of gzyuans or its licensors and is protected by international copyright, trademark, and other intellectual property laws.

You may view, download, and print content from the Site for personal, non-commercial use, provided you keep all copyright and other proprietary notices intact. Any other use — including reproduction, modification, distribution, transmission, republication, or display — is strictly prohibited without our prior written consent.

4. User content

By submitting content to us through the Site (e.g. via the contact form or by email), you grant gzyuans a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content solely for the purpose of operating the Site and providing our services to you.

You represent and warrant that you own or have the necessary rights to submit the content, and that the content does not infringe the rights of any third party or violate any law.

5. Services & deliverables

The terms governing any paid services we provide to you (design, engineering, advisory, or otherwise) will be set out in a separate written agreement (a "Statement of Work" or "SOW") signed by both parties. The SOW will take precedence over these Terms in the event of any conflict for the specific engagement it covers.

Unless otherwise specified in the SOW:

  • All deliverables are licensed to you on a non-exclusive, perpetual, royalty-free basis for your internal use
  • We retain the right to display the work in our portfolio and case studies (anonymised at your request)
  • Open-source components are governed by their respective licenses
  • Pre-existing intellectual property remains with its original owner

6. Payment & refunds

Payment terms for our services are defined in the relevant SOW. For the Site itself, all services described are at promotional rates subject to change.

If you believe a charge is incorrect, please contact us at support@gzyuans.com within 30 days of the charge and we'll investigate promptly.

7. Warranties & disclaimers

The Site is provided "as is" and "as available." To the fullest extent permitted by law, gzyuans disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that defects will be corrected.

8. Limitation of liability

To the maximum extent permitted by applicable law, in no event shall gzyuans, its directors, employees, partners, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages — including without limitation loss of profits, data, use, goodwill, or other intangible losses — arising out of or in connection with your use of, or inability to use, the Site.

In no event shall our total aggregate liability for any claim arising out of or relating to the Site exceed one hundred euros (€100).

9. Indemnification

You agree to indemnify, defend, and hold harmless gzyuans and its officers, directors, employees, and agents from any claim, demand, loss, liability, damage, or expense (including reasonable legal fees) arising out of your breach of these Terms, your use of the Site, or your violation of any law or the rights of a third party.

10. Termination

We may terminate or suspend your access to the Site at any time, without prior notice, for conduct that we believe violates these Terms or is otherwise harmful to other users, us, or third parties.

For paid services, termination rights and procedures are defined in the relevant SOW.

11. Governing law & disputes

These Terms shall be governed by and construed in accordance with the laws of Portugal, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms — including any question regarding its existence, validity, or termination — shall be referred to and finally resolved by the courts of Lisbon, Portugal, unless mandatory consumer-protection laws of your country of residence grant you the right to bring proceedings in your local courts.

If you are a consumer in the EU, you may also use the European Commission's Online Dispute Resolution platform.

12. Changes to these terms

We may update these Terms from time to time. The "Last updated" date at the top of this page will reflect the date of the most recent change. Material changes will be announced by a banner on the Site or, where appropriate, by email. Your continued use of the Site after a change constitutes acceptance of the updated Terms.
